Terms and Conditions for Clinics

1. About Clinics Abroad
1.1. Clinics Abroad, SIA, is a company registered in Latvia with registration number 40203558470. Our headquarters are located at Kastanu 17, Garkalne, Adazi, Latvia, LV-2164. Our platform, accessible at www.clinicsabroad.com, connects users with a curated network of clinics worldwide, facilitating access to medical services.
1.2. Clinics Abroad operates exclusively as a digital platform to assist patients in finding and connecting with clinics. We do not provide medical advice, diagnoses, or treatments. All medical services are offered solely by the clinics listed on our platform, and responsibility for these services lies entirely with the clinics.
1.3. Clinics Abroad provides the platform as an intermediary service to connect clinics with users. The platform:
1.3.1. Hosts clinic listings.
1.3.2. Facilitates the distribution of user inquiries to patient selected clinics free of charge.
1.3.3. Includes clinic listings on an interactive digital catalogue.
1.3.4. Conducts paid promotions using interactive digital catalogue assets on social networks and Google Ads, deploying lead-generating campaigns and reach strategies.
1.3.5. Provides lead nurturing campaigns featuring clinic listings on interactive catalogue assets.
1.3.6. Does not validate, guarantee, or monitor the services provided by clinics.
1.4. Clinics Abroad is not responsible for the outcomes of medical services or disputes arising between users and clinics.

2. Definitions
2.1. “Account” means a user-created profile that provides access to specific features or functionalities of the platform.
2.2. “Clinic” means any medical or healthcare service provider listed on the platform that offers treatments or consultations to users.
2.3. “Clinics Abroad” means Clinics Abroad, SIA, a company registered in Latvia under registration number 40203558470, providing the platform to connect users with clinics.
2.4. “Content” means all materials available on the platform, including but not limited to clinic listings, interactive digital catalogue, images, and user-generated reviews.
2.5. “Dispute Resolution” means the process by which disagreements between users, clinics, and Clinics Abroad are handled, including mediation, arbitration, or legal proceedings.
2.6. “GDPR” means General Data Protection Regulation (EU Regulation 2016/679), which governs the collection, processing, and storage of personal data for users within the European Union.
2.7. “Governing Law” means the legal framework under which these Terms are interpreted and enforced, which is the law of Latvia unless otherwise stated.
2.8. “Inquiries” means requests submitted by users through the platform seeking information or quotes from clinics.
2.9. “Personal Data” means any information relating to an identified or identifiable individual, collected or processed by Clinics Abroad as part of the platform’s operation.
2.10. “Platform” means the Clinics Abroad website and any associated services accessible at www.clinicsabroad.com.
2.11. “Prohibited Conduct” means activities that violate these Terms, such as submitting false inquiries, abusing the platform, or engaging in unlawful behaviour.
2.12. “Sensitive Data” means any personal data that falls under the GDPR’s definition of Special Categories of Personal Data, specifically data revealing a person’s racial or ethnic origin, political opinions, religious or philosophical beliefs, or trade union membership, as well as data concerning health, genetic data, biometric data used for unique identification, or data concerning a person’s sex life or sexual orientation.
For the purposes of this agreement, Sensitive Data specifically includes personal data related to:
2.12.1. Medical conditions, health status, or diagnostic information provided by users.
2.12.2. Treatment inquiries, preferences, or requirements shared by users through the platform.
2.12.3. Medical documents, images, or reports submitted by users to facilitate communication with clinics.
Sensitive Data shall only be processed in strict compliance with Article 9 of the GDPR, which requires explicit consent from the data subject unless a specific lawful basis applies.
2.13. “Services” means the intermediary and marketing services provided by Clinics Abroad, including facilitating connections between users and clinics, enabling users to access clinic information, and conducting light marketing campaigns (such as email and social media outreach) to promote clinic services.
2.14. “Terms” means these Terms and Conditions, which govern the relationship between Clinics Abroad, users, and clinics.
2.15. “User” or “Patient” means any individual accessing or using the platform to inquire about or connect with clinics listed on the platform.

3. Clinic Responsibilities
3.1. Clinics utilizing the platform must comply with the following obligations:
3.2. Accurate and Transparent Listings
3.3. Clinics are responsible for ensuring that all information provided on the platform, including service descriptions, pricing, credentials, and availability, is accurate, truthful, and updated regularly. Clinics must not:
3.3.1. Provide misleading or exaggerated claims about their services or qualifications.
3.3.2. Fail to disclose critical information, such as licensing, accreditations, or treatment risks.
3.4. Timely and Professional Communication
3.5. Clinics must respond to user inquiries promptly, typically within three business days. Delayed responses or unprofessional communication may result in reduced visibility on the platform or suspension of the clinic’s account.
3.6. Compliance with Applicable Laws
3.7. Clinics are solely responsible for ensuring compliance with all applicable laws, regulations, and standards governing their practice, advertising, and data handling. Clinics must:
3.7.1. Hold valid licenses and certifications required to operate in their jurisdiction.
3.7.2. Adhere to ethical and professional standards in providing medical or healthcare services.
3.8. Quality Assurance
3.9. Clinics must maintain high standards of care and service quality. Clinics Abroad reserves the right to request evidence of compliance with quality standards, such as accreditations, reviews, or audits.
3.10. Non-Exclusivity
3.11. The platform operates on a non-exclusive basis, and clinics acknowledge that Clinics Abroad lists multiple healthcare providers and competitors.
3.12. Lawful Use
3.13. The platform must only be used for lawful purposes in compliance with all applicable local, national, and international laws and regulations.
3.14. It is your responsibility to ensure that the use of our platform aligns with the laws and medical regulations of your jurisdiction.
3.15. Clinics Abroad does not permit the use of its platform for medical services that are illegal in the user’s or clinic’s country.

4. Services
4.1. Nature of the Service
4.2. Clinics Abroad provides an online platform accessible at www.clinicsabroad.com that connects Users with clinics offering medical and healthcare services. The platform allows users to:
4.2.1. Browse clinic directories, treatment and procedure pages, and interactive catalogs. Visitors can also interact with an AI agent, whose knowledge base is built from ClinicsAbroad.com assets and clinic websites, providing quick and easy replies to patient inquiries. The AI chat is also integrated into ClinicsAbroad.com’s social channels (Facebook, Instagram), assisting with questions from audiences on social media and collecting leads.
4.2.2. Access informational content and, through integrated direct URL links, navigate to clinic websites, appointment pages, or doctor profiles.
4.3. Intermediary Role. 
4.4. Clinics Abroad acts solely as an intermediary between users and clinics. Clinics Abroad does not:
4.4.1. Provide medical advice, diagnosis, or treatment.
4.4.2. Endorse or guarantee the quality, suitability, or safety of the services provided by clinics.
4.4.3. Intervene in disputes between users and clinics. All communications, agreements, and services rendered beyond the platform are the sole responsibility of the clinics.

5. Pricing

5.1. Clinics Abroad offers a transparent pricing model to ensure affordability and value for clinics.
5.2. The standard subscription fee is €69 per month, which includes access to all platform features such as clinic listings, treatment pages, interactive catalogues, AI agent support, paid lead generation, promotional integrations, and lead nurturing.
5.4. All prices are exclusive of applicable taxes, which will be added at checkout where required.

6. Trials

6.1. Promotional trial periods are subject to change without prior notice. For the most up-to-date offers, please visit clinicsabroad.com/for-clinics.
6.2. Clinics Abroad provides a promotional trial period of up to 90 days, allowing clinics to explore the platform and its features at no cost, with no payment card required to set up the free trial.
6.3. During the trial, clinics will have full access to all the features, including the ability to list their clinic, create treatment pages, and get listed on interactive catalogue.
6.4. At the end of the trial period, clinics will be required to manually set up a subscription through their portal at https://clinicsabroad.com/my-subscriptions/, unless cancelled before the trial ends.
6.5. Clinics will receive reminders before the trial period concludes to ensure they can make an informed decision.

7. Subscriptions & Renewals

7.1. Subscriptions are set up manually by clinics through their portal at https://clinicsabroad.com/my-subscriptions/ at the end of the trial period and are billed monthly at €69, starting immediately after the trial period ends.
7.2. Subscription fees are charged automatically to the payment method provided during subscription registration.
7.3. Subscriptions renew automatically at the beginning of each billing cycle unless canceled by the clinic.
7.4. Clinics have full access to manage their subscription through their portal at https://clinicsabroad.com/my-subscriptions/ by clicking “Manage or Cancel Existing Subscription.”
7.5. Failure to process payment may result in the temporary suspension of services until the issue is resolved.

8. Terminations

8.1. Clinics can cancel their subscription at any time through their dashboard at https://clinicsabroad.com/my-subscriptions/.
8.2. Upon cancellation, access to the platform and its features will remain active until the end of the current billing cycle.
8.3. Clinics Abroad reserves the right to terminate a subscription in cases of misuse, violation of terms, or non-payment.
8.4. Refunds for unused portions of the subscription period are not provided unless required by applicable law.
8.5. In the event of termination, Clinics Abroad will, by default, unpublish all the clinic’s assets on ClinicsAbroad.com and securely store them for a 3-month “change-of-mind” period. During this time, all clinic data will remain securely stored and accessible as outlined in the data retention policy.
8.6. At the clinic’s request, ClinicsAbroad.com can immediately and irreversibly delete all data collected during the contract, meaning no further access to the data will be possible.
8.7. Three months after termination, Clinics Abroad will reach out to the clinic to reconsider rejoining ClinicsAbroad.com. If the clinic provides a negative response or no response within 3 days of receiving the email, all clinic data will be irreversibly deleted by default.

9. Availability of the Platform
9.1. Clinics Abroad strives to maintain the availability of its platform but does not guarantee uninterrupted access. Scheduled maintenance, technical issues, or factors beyond the company’s control may temporarily disrupt service. Clinics Abroad will provide advance notice for planned outages whenever feasible.
9.2. Changes to the Service
9.3. Clinics Abroad reserves the right to modify, update, or discontinue any part of the platform or its services at its sole discretion. Any significant changes will be communicated to users through the platform or email.
9.4. Limitations on Use
9.5. The platform and its services are intended for personal, non-commercial use. Users agree not to:
9.5.1. Copy, modify, or distribute any part of the platform.
9.5.2. Use the platform for unauthorized or illegal activities.
9.5.3. Attempt to disrupt the functionality of the platform.

10. Onboarding Requirements
10.1. Clinics Abroad requires all clinics to meet specific standards during the onboarding process to ensure quality and compliance. Clinics must provide valid licenses, certifications, and accurate information about their services. Additional documentation, such as proof of accreditation or malpractice insurance, may be requested.
10.2. Applications are reviewed within 24h, and clinics will be notified of the outcome. Clinics may be fully accepted, conditionally accepted (subject to fulfilling additional requirements), or rejected. Grounds for rejection include incomplete or misleading information, regulatory violations, or practices inconsistent with platform standards.
10.3. Clinics may appeal a rejection by submitting a written request with supporting evidence within 30 days. Clinics Abroad reserves the right to update onboarding requirements at its discretion.

11. Right to Refuse Onboarding
11.1. Clinics Abroad reserves the right to refuse the onboarding of any clinic at its sole discretion. This decision is based on a fair and transparent evaluation process designed to uphold the platform’s commitment to quality, professionalism, and compliance with applicable laws. Clinics may be refused onboarding if they fail to meet necessary legal and regulatory requirements, such as holding valid licenses, certifications, or accreditations required to operate in their jurisdiction. Additionally, clinics with a history of regulatory violations, sanctions by medical boards, or consistent negative reviews from legitimate sources may be deemed unsuitable for the platform.
11.2. The platform may also refuse onboarding if the clinic provides inaccurate, incomplete, or misleading information during the application process or fails to submit necessary documentation for verification. Ethical or professional concerns, including associations with unethical practices, misleading advertising, or unsafe procedures, may further justify a refusal. Similarly, clinics whose services are incompatible with the platform’s goals, audience, or operational framework, or do not align with the medical tourism standards upheld by Clinics Abroad, may also be denied.
11.3. In cases where an application is refused, Clinics Abroad will notify the clinic in writing within a reasonable timeframe, providing a brief explanation of the reasons where appropriate. However, the platform reserves the right to refuse onboarding without disclosing specific reasons if such disclosure could compromise the safety of users, the integrity of the platform, or legal compliance.
11.4. Clinics that believe their application was unjustly refused may appeal the decision by submitting a written request for reconsideration within the timeframe specified in the refusal notice. Appeals should address the concerns raised and include supporting evidence or documentation. Clinics Abroad will review such appeals and communicate a final decision within a reasonable period, though reconsideration remains at the sole discretion of the platform.
11.5. It is important to note that the submission of an application does not guarantee acceptance to the platform, and Clinics Abroad is not liable for any costs, expenses, or damages incurred by a clinic as a result of refusal to onboard.

12. Data Sharing and Privacy
12.1. Controller-to-Controller Relationship
12.2. Clinics Abroad and the clinics listed on the platform operate as independent data controllers under the GDPR. Each party determines the purposes and means of processing personal data within their respective roles. Clinics Abroad processes user data to facilitate access to clinic information and enable user-initiated connections, while clinics process user data to respond directly to inquiries or provide requested services.
12.3. Data Sharing
12.4. Clinics Abroad shares basic personal data with clinics based on the user’s explicit consent provided through the platform. This data includes information necessary for clinics to contact users and respond to inquiries, such as email addresses, categories of treatment, comments, and timelines. Clinics are solely responsible for ensuring that data is processed for its intended purpose and in compliance with GDPR and other relevant data protection laws.

13. Clinic Responsibilities

13.1. Clinics are responsible for responding to all patient inquiries generated from ClinicsAbroad.com in a timely manner and providing professional, high-quality care during treatments and procedures.
13.2. Clinics Abroad does not share private or sensitive user data with clinics. Clinics are responsible for handling any data they collect directly from users in compliance with applicable data protection laws, including GDPR.
13.3. Clinics must ensure that their data processing practices are transparent and communicated to users through a clear privacy notice.
13.4. Clinics are independently responsible for addressing user rights requests related to any data they collect directly, including:
13.4.1. The right to access personal data.
13.4.2. The right to rectification or deletion of data.
13.4.3. The right to restrict or object to processing.
13.4.4. The right to data portability.
13.5. Clinics Abroad is not responsible for how clinics handle user data collected outside of the platform.
13.6. Clinics must implement appropriate security measures to protect any data they collect directly from users, ensuring compliance with applicable laws and regulations.

14. Communication with Clinics
14.1. Clinics Abroad facilitates marketing campaigns via email and social media platforms. Patients interested in clinic services can directly contact the clinic through links provided on our platform or campaign materials.
14.2. Responsibility and Liability
14.2.1. Clinics Abroad does not:
14.2.1.1. Monitor or intervene in communications between users and clinics.
14.2.1.2. Guarantee that clinics will respond to inquiries or provide quotes within a specific timeframe.
14.2.1.3. Bear responsibility for the quality, suitability, or outcomes of any medical services arranged between users and clinics.
14.2.2. All further communication, scheduling, and services are conducted directly between the user and the selected clinic. Clinics Abroad is not liable for any disputes arising from these interactions
14.3. Responsibility of Clinics
14.4. Clinics receiving inquiries are solely responsible for:
14.4.1. Providing accurate and truthful responses to user inquiries.
14.4.2. Offering clear and detailed information about their services, pricing, and any associated terms or conditions.
14.4.3. Adhering to relevant laws and medical standards in their jurisdiction.
14.5. Medical Information Disclaimer
14.6. Clinics Abroad acts solely as an intermediary, facilitating connections between users and clinics. Clinics Abroad does not vet, validate, or endorse the medical competence, qualifications, or credibility of any clinic listed on the platform. All information provided about clinics is supplied by the clinics themselves, and Clinics Abroad does not independently verify the accuracy or reliability of this information.
14.7. Users are solely responsible for conducting their own due diligence before engaging with a clinic. Clinics Abroad disclaims all liability for medical advice, diagnoses, treatments, or outcomes resulting from the services provided by clinics. Any issues or disputes related to the quality of medical services must be resolved directly between the user and the clinic.
14.8. By listing on the platform, clinics agree that Clinics Abroad bears no responsibility for any outcomes, claims, or disputes arising from their services.

15. Governing Law and Dispute Resolution
15.1. These Terms and Conditions are governed by and construed in accordance with the laws of Latvia. Clinics agree that any disputes arising from or related to these Terms, the use of the platform, or the services provided will be subject to the following dispute resolution process.
15.2. In the first instance, both parties agree to make genuine efforts to resolve disputes amicably through good-faith negotiations. Clinics may initiate this process by contacting Clinics Abroad at dpo@clinicsabroad.com
15.3. If a dispute cannot be resolved amicably within 30 days, it shall be referred to mediation or arbitration under the rules of the the Latvian arbitration court or another mutually agreed arbitration body. The mediation or arbitration proceedings shall be conducted in English, and the venue for arbitration shall be Riga, Latvia, unless otherwise agreed by the parties. The decision of the arbitrator shall be binding and enforceable in any court of competent jurisdiction.
15.4. For cross-border disputes, clinics agree that the governing law remains that of Latvia. Clinics Abroad makes no representation that the platform complies with laws of jurisdictions outside of Latvia. Clinics accessing the platform from other regions are responsible for ensuring compliance with local laws. This clause does not limit clinics’ rights to bring claims in their local jurisdiction where mandatory legal requirements apply.
15.5. Clinics Abroad reserves the right to amend these Terms and Conditions at its sole discretion. Any changes will be communicated to clinics via email or through prominent notices on the platform. Changes will become effective immediately upon posting unless otherwise specified. Clinics are encouraged to review these Terms periodically to stay informed of updates. Continued use of the platform after changes are implemented constitutes acceptance of the modified Terms. If clinics do not agree with the updated Terms, they must discontinue using the platform.

16. Intellectual Property Rights
16.1. Clinics Abroad, SIA, retains all rights, title, and interest in and to the platform, including but not limited to its design, functionality, content, trademarks, logos, proprietary software, and any associated materials. The platform is protected by copyright, trademark, and other intellectual property laws. Clinics are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the platform for the sole purpose of listing services and connecting with users, subject to these Terms and Conditions.
16.2. Each party retains ownership of their respective intellectual property. Clinics Abroad does not claim ownership over any content uploaded by clinics, including but not limited to logos, trademarks, service descriptions, and other proprietary materials provided for listing purposes. Similarly, clinics acknowledge that they do not acquire any rights to the platform, its software, or any proprietary materials belonging to Clinics Abroad.
16.3. Clinics may not copy, reproduce, distribute, modify, or create derivative works from any part of the platform without prior written consent from Clinics Abroad. Clinics are prohibited from using the platform for purposes of competitive analysis, reverse engineering, or developing competing products or services. Additionally, clinics must not remove, obscure, or alter any copyright, trademark, or other proprietary notices displayed on the platform.
16.4. By uploading content, including logos, service descriptions, and other materials, clinics grant Clinics Abroad a worldwide, non-exclusive, royalty-free license to use, reproduce, display, distribute, and adapt such content for the purpose of operating, promoting, or improving the platform. Clinics warrant that they have the necessary rights to grant this license and that the content does not infringe upon any third-party intellectual property rights. Clinics Abroad is not liable for any intellectual property disputes arising from clinic-submitted content. If Clinics Abroad becomes aware of alleged infringements, it reserves the right to remove such content without prior notice.
16.5. The platform may also display content, trademarks, or other intellectual property owned by third parties, including those of clinics. Such content remains the property of the respective owners and is provided solely for informational or promotional purposes. Clinics Abroad disclaims all liability associated with unauthorized use of third-party intellectual property.
16.6. Clinics are advised that any unauthorized use of Clinics Abroad’s intellectual property or that of third parties may result in the termination of the clinic’s account and legal action.

17. No Partnership or Agency
17.1. Nothing in this Agreement is intended to, or shall be deemed to, establish any partnership or joint venture between the parties, nor authorize any party to act as an agent for the other or to make any commitments on behalf of the other party, except as expressly provided in specific clauses of this Agreement, if any.
17.2. Each party confirms that it is acting solely on its own behalf and not for the benefit of any other person or entity.

18. Termination and Account Suspension

18.1. Termination by Clinics Abroad
18.1.1. Clinics Abroad reserves the right to terminate this agreement or suspend a clinic’s account at its sole discretion under the following circumstances:
18.1.1.1. For Cause: Clinics Abroad may terminate or suspend access immediately if the clinic:

Violates these Terms and Conditions or applicable laws.
Provides inaccurate, misleading, or fraudulent information during onboarding or use of the platform.
Engages in unethical or unprofessional practices that harm the platform’s reputation or user trust.
18.1.1.2. Without Cause: Clinics Abroad may terminate this agreement without cause by providing the clinic with 30 days’ written notice.
18.2. Termination by the Clinic
18.2.1. Clinics may terminate this agreement without cause by providing 30 days’ written notice to Clinics Abroad. Upon termination, clinics must delete their clinic listings from the platform and remove any references to Clinics Abroad, if applicable.

18.3. Effect of Termination
18.3.1. Upon termination, the clinic’s profile and listings will be removed from the platform, and access to the account will be disabled.
18.3.2. Fees paid prior to termination are non-refundable unless otherwise agreed in writing.

19. Acceptance of Terms
19.1. By accessing or using Clinics Abroad, clinics confirm that they have read, understood, and agreed to these Terms and Conditions. Acceptance of these Terms is demonstrated through affirmative actions, such as completing the registration process, submitting an application to list services on the platform, or continuing to use the platform after being notified of any updates to the Terms.
19.2. Clinics that do not accept these Terms are prohibited from using the platform or its services. If a clinic disagrees with any provision of these Terms or subsequent updates, it must discontinue its use of the platform immediately. Continued use of the platform constitutes full acceptance of the Terms, including any modifications or amendments.

20. Force Majeure
20.1. Clinics Abroad shall not be held liable for any failure or delay in performing its obligations under these Terms and Conditions if such failure or delay is caused by events beyond its reasonable control (“Force Majeure Events”). Force Majeure Events include, but are not limited to:
20.1.1. Acts of God, such as earthquakes, floods, hurricanes, or other natural disasters;
20.1.2. War, armed conflict, terrorism, or civil unrest;
20.1.3. Industrial actions, strikes, or labor disputes not involving Clinics Abroad’s employees;
20.1.4. Governmental actions, laws, regulations, or restrictions;
20.1.5. Cyberattacks, system failures, or interruptions in internet or telecommunications services;
20.1.6. Pandemic outbreaks or other public health emergencies.
20.2. In the event of a Force Majeure Event:
20.2.1. Notification: Clinics Abroad shall promptly notify affected clinics of the nature, extent, and expected duration of the Force Majeure Event.
20.2.2. Temporary Suspension: The obligations of Clinics Abroad under these Terms may be suspended for the duration of the Force Majeure Event. Clinics will not be entitled to any refunds for such interruptions, except at Clinics Abroad’s discretion.
20.2.3. Efforts to Mitigate: Clinics Abroad will make all reasonable efforts to mitigate the impact of the Force Majeure Event and resume normal operations as soon as practicable.
20.3. If the Force Majeure Event continues for more than 60 days, either party may terminate this agreement upon written notice, without further liability, except for obligations accrued prior to termination.

21. Indemnity
21.1. Clinics agree to indemnify, defend, and hold Clinics Abroad, its officers, directors, employees, agents, and affiliates harmless from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:
21.1.1. The clinic’s failure to comply with applicable laws, regulations, or licensing requirements.
21.1.2. Any inaccuracies or misrepresentations in the clinic’s profile or services listed on the platform.
21.1.3. Claims, disputes, or damages arising from the clinic’s interactions with users, including but not limited to medical malpractice, service complaints, or disputes over pricing.
21.1.4. Breaches of data protection laws, including GDPR, related to user data shared via the platform.
21.2. Clinics Abroad will notify the clinic promptly of any such claims and provide reasonable assistance in defending the claim. The clinic shall bear the cost of such defense and may not settle any claim without prior written consent from Clinics Abroad if the settlement imposes liability or obligations on Clinics Abroad.

22. Limitation of Liability
22.1. Clinics Abroad provides the platform as an intermediary service to connect clinics with users and facilitate communication. Clinics Abroad shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business interruption, arising from the use of the platform or any services provided by the clinic.
22.2. Clinics Abroad does not provide medical advice, diagnoses, or treatment. Clinics acknowledge and agree that Clinics Abroad does not guarantee the accuracy, suitability, or quality of user inquiries, nor does it monitor or validate the medical outcomes or service levels provided by the clinic. Clinics Abroad is not liable for any claims, losses, or damages resulting from the following:
22.2.1. Errors, inaccuracies, or omissions in user-provided data or inquiries.
22.2.2. The clinic’s inability to respond to user inquiries in a timely or satisfactory manner.
22.2.3. Disputes, claims, or damages arising from interactions between clinics and users.
22.3. While Clinics Abroad strives to ensure accurate and up-to-date information on the platform, it does not warrant the completeness, reliability, or timeliness of user inquiries or platform functionalities. Clinics are solely responsible for verifying the suitability of user inquiries and ensuring that their services are communicated accurately to users.
22.4. Clinics must conduct their own due diligence when engaging with users and are fully responsible for ensuring that their services comply with applicable laws and regulations. Clinics Abroad disclaims any liability for disputes, claims, or damages arising between clinics and users, and such matters must be resolved directly by the parties involved.
22.5. Clinics Abroad is not liable for temporary unavailability of the platform due to technical issues, maintenance, or unforeseen circumstances. Additionally, Clinics Abroad shall not be held responsible for losses or errors caused by third-party service providers, system failures, or clinic misuse of the platform.
22.6. Clinics Abroad’s total liability for any claim arising out of or related to these Terms, whether in contract, tort, or otherwise, shall not exceed the total amount paid by the clinic to Clinics Abroad in the 12 months preceding the claim. This limitation of liability does not apply to claims arising from gross negligence, willful misconduct, or any liability that cannot be excluded under applicable law.
22.7. By using the platform, clinics acknowledge and agree to these limitations of liability and accept that Clinics Abroad’s role is limited to providing an intermediary platform without guarantees regarding user engagement, outcomes, or service quality.
